Topmet Light’s Terms of Sale for 2021
- Placement and Implementation of the Orders
- The orders must be placed in writing. They can be placed via e-mail to the following address: orders@topmet.pl, via B2B e-commerce system or in a specific file format with the .CSV extension.
- The orders are confirmed by Topmet Light via feedback message. The lack of a written confirmation does not cause any legal consequences of the placed order. At Topmet Light, the orders are handled by a specialised Customer Service Department.
- The orders for LED profiles in standard length, in anodized silver version or in raw version are implemented within
5 business days from the moment of order confirmation. In the case, when an order includes special products, such as white or black profiles, angle connectors, special holders, e.g. for the LED PEN profile, the implementation deadline amounts up to 15 business days. The lead time for the Topmet lighting fixtures is also up to 15 business days. - LED profiles and click-type diffusers are offered in the lengths of 1m and 2m. At the client’s request, there is a possibility to sell profiles and diffusers in the lengths of 3m and 4m (subject to section 1.5) – and in unique dimensions, after individual arrangements with a sales representative. The exceptions include unique products offered only in a certain length. There are also special sets available in 20m rolls for the selected click-type diffusers.
- In the case of wholesale, we offer products in full packaging. Information regarding the quantity in bulk packaging can be found in the Topmet Light’s price list.
- Profiles and diffusers offered in the form of samples may have the length of 100mm. In other cases, the order is treated as a special order.
- The minimum value of an order implemented within Poland is 500 PLN net. In the case of international orders within EU, the minimum value is 500 EUR. In the case of orders requiring customs clearance, the minimum amount is 1000 EUR. In the case of personal collections for non-EU orders, the minimum value of an order is 1500 EUR. Personal collection of goods for non-EU countries requires customs clearance carried out by Topmet Light. The costs of customs clearance are borne by Topmet Light for orders with value exceeding 2 000 EUR, in other cases a fee of 50 EUR is charged. Goods shipped by Topmet Light via freight forwarding to non-EU countries include the costs of customs clearance in the cost of transport.

- The commercial invoice is not sent along with the goods. It is delivered in electronic form (e-invoice) or via traditional post, depending on the client’s preferences. Access to the commercial invoices is also possible through the B2B
e-commerce system. - In addition, Topmet Light offers the possibility of placing orders via the B2B internet system. The orders placed via the B2B system receive an additional 1% discount. In the system, the client has access to the documents, as well as the possibility to get information about the availability of products. Access to the system is possible after obtaining a login and password from a sales representative.
- Implementation of Shipments
- The goods are packed and shipped by Topmet Light. Personal collection is only possible for domestic and non-EU orders. In such case, it is required to provide personal data of the person collecting the goods and the vehicle number, as well as to agree on the collection date with the Customer Service department.
- Topmet Light offers shipping via freight forwarding at a specific price, however is not responsible for delays or damage resulting from the forwarding company’s service. Implementation of a shipment requires the parties to expressly agree on its conditions, especially the INCOTERMS formula, which will apply to a specific shipment.
- Topmet Light covers the transportation costs depending on the delivery zone – for domestic orders over 2000 PLN, for EU orders over 1000 EUR (zone 1) or over 1500 EUR (zone 2). Other zones are agreed upon individually with the sales representative (Annex – Zones).
- In the case of partial shipments at the client’s request, only the cost of the first shipment is covered, subject to section 2.2.
- Collection can be carried out personally or with the use of shipping service ordered by the client. A TOPMET client may collect orders personally from the Topmet Light’s Main Warehouse (ul. Ostrowska 532a, 61-312 Poznań, during warehouse’s working hours), only after receiving confirmation from the Customer Service Department that the goods are ready for collection. Before the collection, it is necessary to provide the first and last name of the person collecting the goods. During collection of the order, it is necessary to provide the following information to an employee of the TOPMET Light’s Main Warehouse: WZ document number, company name or tax identification number (NIP), first and last name of the person collecting the order. The risk of loss or damage to such goods passes to the client at the moment of handover to the person collecting the goods or to a forwarding company. Personal collection is possible only for domestic transactions and non-EU transactions.
- The shipping costs of profiles and diffusers longer than 2m are determined individually, subject to section 1.7.
- Any subsequent requests for additional goods will be treated as a new order. The rules of shipment, implementation deadline and minimum values of ordered goods apply to each order separately.
- Made-to-measure profiles and diffusers are offered only after acceptance of individual valuation.
- The minimum value of a special order amounts to 500 EUR. Made-to-measure products can be offered only in quantities that are a multiple of the quantity in bulk packaging (package).
- In the case of special orders, the lead time is 15 business days. Topmet Light reserves the right to demand a down payment of 50% of the order value.
- Terms of Payment
- The basic method of payment consists of a prepayment to the bank account, in accordance with the received pro-forma invoice. Also, there is a possibility to offer a deferred payment with specified amount of a trade credit, after several-stage verification of the client’s financial credibility.
- In the case of prepayment, the shipments are implemented after the amount is credited to the Topmet Light’s bank account. The payment should be made within five days from placement of a given order. Otherwise, the order may be cancelled.
- In the case of deferred payment, the goods delivered to the client remain the property of Topmet Light until the client pays the entire amount due.
- Other Terms
- The client is responsible for the possibilities of application and the effects of using the goods provided by Topmet Light in specific structural solutions of the client, even if Topmet Light was involved as an advisor or consultant in the preparation of the structure and the final product of the client. Other scope of responsibility requires express written arrangements.
- The property rights to all intangible goods, protected by the Industrial Property Act and the Copyright Act, especially to pieces of work protected by copyright, patents for inventions, utility models, trademarks, trade names, source designations, source names, integrated circuit topography, improvement proposals, information on the correct use of inventions, other technical information and experiences directly applicable in business and scientific activities, information of organisational nature and other information provided to the client by Topmet Light as a result of performance of commercial relations, constitute the property of Topmet Light. Implementation of the order does not imply the granting of any license. The client has no right to exploit the goods or to copy, duplicate or make them available to third parties for any purpose other than the use of the purchased goods.
- Topmet reserves the right to introduce structural changes, resulting from the development of technical achievements, to the products proposed in the current sales offer.
- The governing law for these terms and contracts between the parties is exclusively the Polish law. In matters not regulated by the provisions of these terms, the provisions of the Civil Code shall be applicable.
- In the case of drawing up contracts and terms of purchase in Polish and a foreign language, Polish shall be the authentic language of the contract. In the case of any discrepancies between the Polish-language version of the contract and the foreign version, the Polish version shall prevail.
- Any changes to these Terms and to the contracts between the parties must be made in writing, in order to be valid.
